Terms and Conditions

1. Scope, Definitions
(1) The following General Terms and Conditions (“GTC”) apply to the business relationship between 24germanschool GmbH (“24germanschool” or “we”) and you (hereinafter “you”) in the version valid at the time of conclusion of the contract. Any differing general terms and conditions of yours are not recognized unless 24germanschool expressly agrees to their validity in writing.
(2) On the website 24germanschool.com (“Website”), 24germanschool offers you various free information, materials and services for learning languages, as well as paid online language courses and materials (together the “Service” or the “Services”).  The term "materials" refers to all paid and free materials from 24germanschool for learning languages, regardless of whether 24germanschool provides them to you within or outside of an online language course.
2. User account, contract conclusion, contract languages
(1) The offers for online language courses do not constitute a binding offer within the meaning of §145 of the German Civil Code (BGB), but rather an invitation to submit an offer. By submitting an order by clicking the order button, you submit a binding offer. Before submitting the order, you can select from various language courses, view and change your data at any time, and choose your payment method. However, the offer can only be submitted and transmitted if you accept these Terms and Conditions by ticking a box, thereby incorporating them into your offer. 
(2) The contract for the online language course between 24germanschool and you only comes into effect upon 24germanschool's declaration of acceptance, which will be sent in a separate email (order confirmation). This email will contain the contract text (consisting of  Terms and Conditions, Order Confirmation) from 24germanschool  The contract text will be sent on a durable medium (email). 24germanschool will store the contract text in compliance with data protection regulations.
(3) The contract shall be concluded in German, English, French, Turkish, Italian or Spanish.
3. Usage rights and restrictions
(1) All copyright usage rights to the materials, including content, texts, images, software, audio and video files and documentation, are held by 24germanschool. 
(2) 24germanschool grants you a simple, non-transferable, non-sublicensable, worldwide right to use the materials exclusively for private and non-commercial purposes. 
(3) You may not, without the prior express written consent of 24germanschool, publicly reproduce the materials or other copyrighted works of 24germanschool, in particular make them publicly available on the Internet, transmit, distribute, sell, rent, sublicense, transfer, publish as an adaptation, in particular translation, reproduce for non-private purposes or otherwise exploit them in a manner not permitted by law.  
(4) They are prohibited from making video and/or audio recordings of online language courses and from publicly reproducing or distributing them.
4. Online language courses
(1) To use online language courses, you need to use third-party video conferencing software. This is specified in the current version of the technical requirements on our website. You are solely responsible for obtaining the respective video conferencing software, including any necessary usage rights, at your own expense. 
(2) 24germanschool and the language teachers reserve the right to exclude you from a lesson at any time for good cause. 
(3) 24germanschool may cancel an online language course at any time before the scheduled start time without giving reasons, particularly in the event of illness of the language teacher. In this case, your available dates will be retained and will be postponed to the next month – at the earliest possible date.
(4) If you arrive more than 10 minutes late for the online language course, the language teacher is entitled to close the course and not continue it or to refuse you access.  In this case, the day will be used up completely and will not be refunded.
6. Fees and payments for online language courses
(1) When you book an online language course, you are obliged to pay the fees agreed in the order. 
(2) You can find the current prices of the offered language courses on the registration pages and sometimes on other pages of our website. The fees charged by 24germanschool are final prices. We do not charge or show value added tax or sales tax in accordance with Section 4 No. 21 of the German Value Added Tax Act (UStG).
(3) 24germanschool reserves the right to change its applicable fees/prices a maximum of once per calendar year in order to adjust them to increases in certain cost elements and the resulting increase in the overall costs associated with 24germanschool's services. Possible cost elements that may affect 24germanschool's fees/prices include the costs of language teachers, costs for the technical provision and distribution of services, costs for marketing, personnel, service providers, and IT systems. 
The price increase will be communicated to current customers via a clear email notification. All price changes will take effect no earlier than 6 weeks after notification. 
(4) 24germanschool generally offers the following payment methods: credit card, PayPal, and instant bank transfer. 24germanschool reserves the right not to offer certain payment methods for specific orders and to refer to other payment methods on the respective checkout page.
(5) 24germanschool accepts various credit cards, z.B. Visa, Mastercard and American Express. 24germanschool will debit your credit card amount directly upon receipt of your order.
(6) Your language course subscription may be cancelled after registration if your credit card expires, is cancelled, lost, or invalidated. We will contact you and give you the opportunity to change your registration details. Your subscription will also be cancelled if your credit card is not successfully recharged or your registration is not successfully renewed.
7. Term, Termination
(1) The duration of an online language course begins at the time specified in the order confirmation. 
(2) If you order a monthly language course subscription, the contract will be concluded for four weeks and will automatically renew for a further four weeks at a time unless you or 24germanschool cancel the contract before the end of the current contract period.  
(3) If you wish to cancel your language course subscription, you must send an email to 24germanschool@gmail.com schryews. 
8. Right of withdrawal
If you are a consumer within the meaning of Section 13 of the German Civil Code (BGB), you have a right of withdrawal for contracts with 24germanschool in accordance with the statutory provisions, about which we inform you in this section 8.For the purposes of this agreement (and these terms and conditions), a consumer is any natural person who uses the services of 24germanschool for a purpose that is not predominantly related to their commercial or independent professional activity.

Right of withdrawal
Exclusion or premature expiry of the right of withdrawal
The right of withdrawal does not apply to contracts for the supply of digital content that is not pre-produced and for which the consumer's individual selection or specification is decisive for its production, or which is clearly tailored to the consumer's personal needs.
The right of withdrawal expires prematurely if we have only begun performance of the contract after you have given your express consent and simultaneously confirmed your awareness that you will lose your right of withdrawal upon commencement of our performance of the contract. Please note that we may make the conclusion of the contract contingent upon the aforementioned consent and confirmation.
9. Liability
(1) Subject to the following paragraph of this Clause 9, 24germanschool's statutory liability for damages is limited as follows: 24germanschool's liability for slightly negligent breach of essential obligations arising from the contractual relationship is limited to the amount of damage typically foreseeable at the time of conclusion of this agreement.d.h. Such contractual obligations, the fulfillment of which is essential for the proper execution of the agreement, the breach of which jeopardizes the achievement of the contractual purpose, and on the observance of which you regularly rely (so-called "cardinal obligations"). 24germanschool is not liable for the slightly negligent breach of non-essential obligations arising from the contractual relationship.
(2) The aforementioned limitation of liability does not apply in cases of mandatory statutory liability (in particular under the Product Liability Act), nor in cases of assumption of a guarantee, intent or gross negligence, or in cases of damages resulting from injury to life, body or health. You are obligated to take appropriate measures to prevent and mitigate damages.
10. Data Protection Guidelines
Your use of our website and the processing of your personal data will be carried out in accordance with our privacy policy.
11. Their special duties 
(1) You are responsible for the actions you take on the website (z.B. in forums, chat rooms)   published content  You are solely responsible for your own actions. The opinions and messages you post on the website do not represent or endorse the views of 24germanschool or its employees. 24germanschool is not responsible for the content of messages you send to other customers who have localized them through 24germanschool.
They agree  to refrain from publishing any of the following content: 
Content that infringes the rights of third parties, in particular the copyrights or data protection rights of third parties,
obscene, pornographic, violence-glorifying or violence-trivializing content, content that is harmful to children and young people, 
Slander, insults, defamatory criticism, threats against other customers or third parties
racist, anti-Semitic, homophobic and transphobic, discriminatory, human dignity-violating and immoral content.
(2) They further agree to refrain from the following actions: 
Distributing electronic content (including viruses, worms, Trojan horses) that is likely to cause damage or any form of impairment to 24germanschool's computer systems, as well as publishing URLs or links to websites or servers containing such content.
to generate significant electronic data traffic, z.B. by sending unsolicited advertising emails, junk emails, other unsolicited messages, so-called mail bombs, etc. to a person, to distribution lists or to multiple newsgroups (spamming) 
To use mechanisms, software or other scripts in connection with the use of the website that impair the functionality or accessibility of the website, or to modify, delete or overwrite content on the website created and managed by 24germanschool.
(3) They further agree: 
During an online language course, you may not photograph other participating customers or the language teacher, or make audio and/or video recordings of them and/or publicly reproduce or distribute them. 
Not to insult, defame, discriminate against, or threaten other participating customers or the language teacher in a racist, anti-Semitic, homo- or transphobic, or other manner during the online language course.  
12. Compensation
You agree to indemnify 24germanschool for any and all damages resulting from your negligent or intentional breach of the Terms and Conditions.
13. Changes to the Terms and Conditions 
24germanschool reserves the right to amend these Terms and Conditions with future effect, for example, due to changes in the law or to ensure better functionality of the website or services. This excludes unreasonable changes, particularly to essential contractual elements such as the main services owed. 24germanschool will notify you of any changes to these Terms and Conditions in writing (email is sufficient) at least six (6) weeks before their intended effective date to your last known email address. If you do not agree to the changes to the Terms and Conditions, you are entitled to object or terminate the contract at the earliest possible date up to the effective date of the amendment. If you do not exercise your right to object or terminate, your agreement to the new Terms and Conditions will be assumed. 24germanschool will inform you of this fact and its consequences in the notification of changes to the Terms and Conditions.
Should you object to the validity of the amended Terms and Conditions, 24germanschool may terminate the contract with you and your user account with a notice period of two (2) weeks.
14. Dispute Resolution Procedure

15. Other
(1) Contracts between you and 24germanschool are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Statutory provisions restricting the choice of law and the applicability of mandatory provisions, in particular those of the state in which you, as a consumer, have your habitual residence, remain unaffected.
(2) Should individual provisions of this Agreement be invalid, the remainder of the Agreement shall remain unaffected.
